We plan to fill in a retention pond with rip rap rock, cover this with geo-textile cloth and top off with 10 or 12 inches of top soil to grow grass. Will the grass continue to thrive in this condition?

Ten to twelve inches of top soil should be sufficient for grass roots. Good drainage is important, which you will be providing, but I'd be concerned about the area sinking unless you compact it mechanically prior to planting. Best wishes with your new lawn!
