My golden rain tree, recently planted, leaves are turning yellow (leaves closest to trunck) What does this mean?? shock??too much water?? too dry??

It is most likely due to transplant shock. This is a tough time for a plant to be trying to get established. Both dry and oversaturated soil are deadly to roots. Try to keep the soil moist but not soggy wet and it should be fine.
