Start by applying a Turfbuilder, which is a weed and feed product. Then wait 2-3 weeks before reseeding. This will give the pelleted weed and feed a chance to work it's way down to the soil surface and begin to dissolve. That way, the new grass seed will have room to germinate and send out its roots. Most grasses won't grow well in the shade but you can find shady mixes in the garden center. They contain fescues and other more shade tolerant grass seeds. Best wishes with your lawn!
